PH Capital, a private equity vehicle sponsored by Palladio Holding, invests in VIA Ingegneria

This marks PH Capital’s first investment, with the acquisition of a majority stake in VIA Ingegneria to support its expansion through organic growth and strategic M&A, with the ambition of establishing the company as one of Italy’s leading players in smart infrastructure engineering services.

Milan/Rome, July 2, 2026 – PH Capital, a private equity vehicle sponsored by Palladio Holding together with the management team, announces its first investment with the acquisition of a stake in VIA Ingegneria, a Rome-based company with 40 years of experience in the design and management of complex infrastructure projects.

The transaction involves a significant reinvestment by the existing shareholders, who will remain at the operational helm of the company, ensuring full managerial and industrial continuity.

VIA Ingegneria specializes in civil engineering and architecture, covering the entire project lifecycle, from feasibility studies to detailed design and construction supervision. The group has solid experience in linear infrastructure — roads, highways, railways, subways, bridges, tunnels and stations — as well as infrastructure related to ports and airports, in addition to large-scale urban redevelopment projects.

The Group also includes VIA Architettura, a company specializing in architectural services, operationally integrated with VIA Ingegneria in the management of multidisciplinary projects.

Over the past ten years, the group has completed more than 250 projects with a total value of approximately 25 billion euros, collaborating with leading infrastructure operators including RFI, ANAS, ASPI – Autostrade per l’Italia and Aeroporti di Roma. This has established VIA Ingegneria as one of Italy’s leading engineering firms active in strategic infrastructure projects for the country.

Among its most recent projects, the Piazza Pia project in Rome stands out. The project included the construction of an underpass and the redevelopment of the surrounding public space, completed in time for the 2025 Jubilee.

The Group has recorded solid growth in recent years, closing 2025 with revenues of approximately 23 million euros, sustainable profitability and a significant backlog for the coming years.

VIA Ingegneria’s leading position in a high-growth sector led PH Capital to invest in the project with a majority stake to support the partners in the next phase of development. This will involve organic growth and M&A, with the goal of creating a national leader in engineering and infrastructure architecture services.

VIA Ingegneria Partners

Matteo Di Girolamo, Francesco Nicchiarelli, Giulio Filippucci, Giovanni Piazza and Felipe Lozano Lalinde, the five partners of VIA Ingegneria, stated:

“Civil engineering and architecture have always been driven by innovation, and today they are entering a new historical phase. For us, PH Capital represents the ideal partner – a strategic partner before being a financial investor – that will combine our excellence in design with a vision focused on technological and business model innovation, with the goal of strengthening our role as market leaders.”

PH Capital

On behalf of PH Capital, Nicola Iorio, Alessandro Mattiacci and Otello Cavaliere emphasized:

“The investment in VIA Ingegneria – the first by PH Capital’s new investment vehicle- is a concrete example of the philosophy that will guide our operations: to back companies operating in strategic supply chains and support their growth through capital, distinctive expertise and an industrial vision. We have identified VIA Ingegneria as a leader with a unique business model, high-quality projects and a solid reputation — factors that have set it apart throughout its 40-year history. Infrastructure engineering is a sector that needs to consolidate its position, with vast potential for technological innovation and significant room for growth, where we will bring our expertise and know-how, applying the value creation ecosystem that characterizes PH Capital’s distinctive investment approach. The transaction will involve the management team and a group of highly experienced and reputable active co-investors to accelerate the growth and development of the business plan.”

The acquisition involved the structuring of a €12 million credit facility provided by Anthilia Capital Partners SGR through the Anthilia BIT V and Anthilia ELTIF Synthesis funds.
